This rule mandates the publication of rules, regulations, privacy policies, and terms for access or usage of the www.PlatinumRx.in website and its mobile applications.

1. GENERAL

Website Ownership: "PlatinumRx," both the internet-based portal and mobile application, is owned, operated, and maintained by Afforis Health Technologies Private Limited, referred to as "Company" or "We" or "Our" or "Us," a company incorporated under the Companies Act, 2013.

User Definition: In these Terms, "You," "Your," or "User" refers to any natural or legal person accessing, using, or subscribing to our Website or services.

Acceptance of Terms: Your use of the Website is subject to accepting all the terms, conditions, and notices outlined in these Terms, along with any amendments made by the Company at its discretion. Continued use of the Website confirms acceptance of any changes.

2. PRODUCTS AND SERVICES

Platform Nature: The Website serves as a platform facilitating online requisitions by Users for the purchase of medicines, wellness, and health-related products and services from registered third parties.

Technology Platform: The Website acts as a technology intermediary, enabling the purchase of drugs and pharmaceutical products from third-party retail pharmacies. The Company provides hosting and technology services but is not a party to transactions between Users and third parties.

Prescription Drugs: Users must upload valid prescriptions for drugs requiring one. Retail Pharmacies dispense quantities specified in the prescription, with verification and potential cancellation in case of discrepancies.
Alternate Prescriptions: Users may receive alternate prescription drug suggestions based on certain conditions, subject to the approval of a registered medical practitioner. The Company records and preserves exchanges between Users and medical practitioners for quality assurance and legal compliance

WEBSITE USAGE

Compliance with Laws: The Website operates in compliance with Indian laws. Users accessing services from locations outside India do so at their own risk, ensuring compliance with local laws.

Third-Party Usage: Users utilizing third-party websites or services are subject to the respective terms and conditions and privacy policies of those entities.

Content Accuracy: The Company does not guarantee the accuracy or authenticity of third-party content, including product descriptions and services. Users are encouraged to verify information independently.

CHANGES TO TERMS

Modification Authority: The Company reserves the right to change or modify these Terms, policies, or guidelines at its discretion. Changes are effective immediately upon posting on the Website. Users are responsible for reviewing Terms regularly.

INVITATION TO OFFER FOR SALE

Nature of Listing: The presentation of drugs and pharmaceutical products on the PlatinumRx Website by Retail Pharmacies constitutes an 'invitation to an offer for sale' and not an 'offer for sale.'

User Offer: Your placement of an order signifies an offer to enter into an agreement with Retail Pharmacies ("Offer").

Acceptance: The acceptance of the Offer is at the discretion of Retail Pharmacies, contingent upon prescription validation and stock availability, confirmed through a subsequent email.

TRANSFER OF PROPERTY AND COMPLETION OF SALE

Dispensation Process: Upon Retail Pharmacies' acceptance, the Products and Services are dispensed at the brick-and-mortar pharmacy.

Property Transfer: Property and title transfer occur upon dispensation, with the sale concluded at the Retail Pharmacy. The invoice is issued by the Retail Pharmacy processing the order.

DRUGS DELIVERY

Delivery Agents: Products and Services are delivered by Retail Pharmacies or independent contractors acting as Your agent.

Limited Control: Delivery personnel act as Your Agent with no control beyond standard delivery obligations. The Company assumes no liability for delivery-related matters.

Delivery Timeline: Our usual delivery time for medicine ranges between 2 to 10 days, depending on the delivery pin-code.

DIAGNOSTICS SERVICES

Marketplace Role: PlatinumRx serves as a marketplace facilitating Users to access diagnostic test/package facilities offered by third-party labs.

Responsibility Allocation: Labs are responsible for providing services, with the Company facilitating without assuming responsibility for services provided.

ONLINE DOCTOR CONSULTANCY

Healthcare Facilitation: PlatinumRx facilitates healthcare product and service provision through third-party registered medical practitioners via Docstat.

Third-Party Liability: The Company disclaims direct or vicarious liability for advice, medical consultancy, or losses arising from third-party registered medical practitioners' engagement.

PATIENT SUPPORT PROGRAM (PSP)

Holistic Support: The Program aims to provide personalized health condition or disease management support through third-party experts.

Professional Independence: Opinions, statements, and services provided by Professionals are independent, with the Company disclaiming liability for correctness and genuineness.

3. ELIGIBILITY OF USE

Contractual Eligibility: Use of the Website is available to persons forming legally binding contracts under the Indian Contract Act, 1872.

Account Restrictions: Users below eighteen years may avail services through legal guardians. The Company reserves the right to terminate access for those under eighteen and restrict users from maintaining more than one active account.

4. USER ACCOUNT, PASSWORD, AND SECURITY

Company facilitates the requisition of Products and Services on the Website upon provision of requisite User information. This includes, but is not limited to, name, user ID, email address, address, gender, age, phone number, password, valid finance account information, and other details, culminating in the creation of an "Account" through Company ID and password or alternative log-in credentials, such as Facebook, Gmail, Yahoo ID, or any valid email ID ("Account Information").

The User acknowledges that the transaction and delivery of Products by registered merchants/vendors may be subject to additional procedures, Terms, guidelines, rules, or disclaimers ("Additional Terms"). In the event of a conflict between the Terms and Additional Terms, the latter shall prevail concerning the relevant service.

Registration as a User is mandatory to avail services on the Website. The User assumes responsibility for maintaining Account Information confidentiality, promptly reporting unauthorized use, and ensuring compliance with applicable laws, regulations, and guidelines. Company disclaims liability for losses arising from User non-compliance.

The Website may grant restricted access to unregistered Users. Users warrant the accuracy of provided Account Information and agree that the use of another User's information is expressly prohibited. Company reserves the right to suspend or terminate Accounts for non-compliance or provision of false information.

5. PRICING INFORMATION AND PAYMENT

Principal-to-Principal Basis: Commercial terms are governed by principal-to-principal contractual obligations between Users and third parties.

Intermediary Role: Company acts as an intermediary and disclaims control or liability for listed products or services, not guaranteeing the identity or transaction completion.

Legally Binding Contract: Initiating a requisition establishes a legally binding contract between the User and the third party, subject to specified payment modes.

Prescription Requirement: Users must provide a valid prescription at delivery, ensuring compliance with applicable laws.

Refund Policy: Users may claim a refund per the Company's Refund and Return Policy, subject to compliance with these Terms.

Transaction Processing: Company reserves the right to refuse orders from Users with a history of questionable charges. Company disclaims liability for transaction-related damages, delays, or non-processing.

Regulatory Disclaimers: Company clarifies its facilitator status and disclaims falling within the purview of certain acts and regulations.

Subscription Fee: Users may be charged a nominal fee for services, payable online through designated facilities.

Taxes: Users are solely responsible for taxes, legal compliances, and statutory obligations. All fees are exclusive of applicable taxes.

Security Measures: Payments are processed through API integration, and the Company is not liable for any loss or damage during the process. Refer to the Privacy Policy for information on confidential data use.

Fee Modification: The Company may modify the fee structure, communicated on the Website, with user agreement. The Company disclaims responsibility for network issues affecting purchase registration.

Dispute Resolution: Disputes related to third-party services are to be settled directly between Users and respective third parties, excluding the Company.

6. USER OBLIGATIONS

Pursuant to adherence to these Terms, Company extends a personal, non-exclusive, non-transferable, and revocable privilege, limited in scope, allowing You access to and utilization of this Website and its provided Services.

You covenant to employ the Services, Website, and associated materials solely for purposes sanctioned by: (a) the Terms; and (b) applicable laws, regulations, or generally accepted practices in relevant jurisdictions. Adherence to limitations on material dissemination, use, and reproduction, as outlined in Paragraph 7, is requisite. Automation, such as data scrapers, deep-links, robots, spiders, or analogous devices, is expressly prohibited for accessing the Website, Information, or Services. You shall not circumvent the Website's navigational structure, reproduction or disrupt its presentation, or seek information through unauthorized means.

Acknowledging exposure to offensive content from other Users, You absolve Company of liabilities concerning such content. Offensive content reporting procedures are specified herein. If permitted to post material, You commit to ensuring its non-offensive nature and compliance with applicable laws, undertaking to refrain from specified prohibited actions.

7. MEMBERSHIPS

PlatinumRx offers a range of limited and unlimited memberships, each subject to distinct terms and conditions, which will be provided separately. Memberships may encompass diverse benefits, features, and usage parameters, and the terms governing the use of these memberships will be explicitly communicated to the members. It is imperative for members to carefully review and adhere to the specific terms and conditions applicable to their respective memberships, ensuring a clear understanding of the privileges, limitations, and obligations associated with their chosen membership tier.

8. USE OF MATERIALS

Except as expressly stipulated otherwise in applicable Additional Terms, Company grants a personal, non-exclusive, revocable (with notice), non-transferable access to view, download, and print product catalogues or other materials on the Website, subject to conditions:

Materials may be accessed and used solely for personal, informational, and internal purposes, in accordance with the Terms; modification of Product catalogues or materials is prohibited.

Distribution, sale, rental, lease, licensing, or making materials available to others is forbidden.

Removal of text, copyright, or proprietary notices from materials is prohibited.

The granted rights do not confer design, layout, or look and feel rights of the Website, protected by intellectual property rights. Reproduction of Product catalogues or materials is prohibited unless expressly permitted. Website software is the property of Company or third parties, accessible only with express permission.

Merchandise or Service purchase is strictly for personal use, and resale, barter, or commercial exploitation for profit is expressly prohibited. Users acknowledge the non-transferrable nature of purchased Services or merchandise for commercial purposes.

9. USAGE CONDUCT

You are exclusively responsible for maintaining the requisite computer equipment and internet connections for accessing, using, and transacting on the Website. Your obligation is to utilize this Website strictly for reasonable and lawful purposes, refraining from activities not envisaged through the Website. The Website and any purchased vouchers/coupons are to be used solely for personal, non-commercial purposes, with no resale to third parties permitted. Upon subscription, the prescription is exclusive for purchasing medicines via the Website, and its use for fulfilling medicine requirements from other retailers is prohibited unless unavailability is established through the Website's partner third parties.

10. INTELLECTUAL PROPERTY RIGHTS

The Website, its processes, and their arrangement, including text, graphics, user interfaces, sounds, music, artwork, and code (collectively, the "Content") are owned and controlled by the Company, protected by copyright, patent, trademark, and other intellectual property laws. Trademarks, logos, and service marks ("Marks") displayed on the Website are the property of the Company or third-party partners. Use of Marks requires prior consent. Company retains all intellectual property rights in the trademark "PlatinumRx," domain name "www.PlatinumRx.in," and the Website. 11. RETURN, REFUND, CANCELLATION, AND SHIPPING CHARGES

A. Cancellation Policy

How can I cancel an order?

An order for medicines or healthcare products can be cancelled from the ‘Order Details’ screen on the PlatinumRx website/app ('Platform') or by calling our customer care number +91 96069 73756 before it is marked as “Out for Delivery”. Else, you can refuse it at the time of delivery and a refund will be processed as per the Refund Policy.

B. Return Policy

1. What is the time period for return of orders

We have a 7 day no questions asked return policy. The order can be returned from 0-7 days from the date of delivery.

Note:The shipping charges will be charged as applicable.

Which Products are not eligible for Returns?

Products Not Eligible for Return - As per terms offered by all the sellers on the Platform, the products shall not be eligible for return under the following circumstances:

• If the item has been opened, partially used, or disfigured. The user is strongly advised to check the package carefully at the time of acceptance of products by the user from the user's delivery agent.
• If the product has been tampered with.
• If the product packaging and/or packaging box and/or packaging seal has been tampered with. The user is strongly advised to check the package carefully at the time of acceptance of products by the user's delivery agent, and it is emphasised that the user should not accept the order if the package appears to be tampered.
• If it is mentioned on the product detail page that the product is non-returnable.
• Any accessories/freebies supplied with the product are missing.
• If the product does not have a serial number/UPC number/barcode affixed, which was present at the time of acceptance of products by the user from the user's delivery agent.
• Any damage/defect which is not covered under the manufacturer's warranty.
• The product is without original packing and accessories/freebies.
• If the product is damaged due to misuse.

How to Return?

You can raise a return request within the time frame mentioned above by following these simple steps on the Platform:

• Go to My Orders;
• Select the respective order and click on ‘RETURN’;
• Check to see if the product/s that you wish to return are returnable and have an active return window;
• Select the item you wish to return with quantity and reason for return.

After your return request is processed,we will pick up the return order in 4-5 business days.

C. Refund Policy

When can I expect the amount to be refunded?

1.1 Please note that the refund amount mentioned at the time of return on the Platform is an estimate and will be finalised after completion of verification. Once the pick-up is completed and the product is verified by the seller, a refund of the total amount paid for the products returned by you will be initiated for eligible returns as mentioned above.

1.2 Refund will be initiated only post successful verification of the products by the seller. Verification process may take 8-10 days from the time of pick up from your location.

The amount is expected to reflect in your account after completion of verification from the seller

Based on the method of payment, refund timeframe: Online refund: 7-10 business days subject to the bank turnaround time and RBI Guidelines.

1.3 You understand and acknowledge that we reserve the rights to claim back any refund that has been processed by us as a result of fraudulent activities such as return of wrong products or wrong quantity of the products.

12. ADVERTISEMENTS

The Website facilitates third-party advertisers ("Third Party Advertisers") to place advertisements. Advertisements must adhere to honesty, realism, and high standards, avoiding misleading or offensive content. The Company reserves the right to modify or remove content, reject or remove any advertisement, and request modifications or factual substantiation for claims.

13. DISCLAIMER OF WARRANTIES AND LIABILITIES

The Website, services, and materials are provided "as is" without warranties. The Company disclaims liability related to user content, unauthorized account use, information accuracy, non-availability, and errors. The Company is not liable for third-party products or services and does not guarantee transactions' performance. Users and third-party service providers are responsible for disputes, and Company does not mediate or possess products or services in transactions.

14. INDEMNIFICATION AND LIMITATION OF LIABILITY

Users agree to indemnify the Company against losses, liabilities, and claims arising from breaches, holding the Company harmless for claims related to their use of the Website. The Company's liability is limited to refunding the money charged for specific vouchers or products. The Company, its officers, directors, employees, partners, or suppliers are not liable for special, incidental, indirect, or consequential damages. The Company is not responsible for non-performance of contracts between users and third-party service providers, and it does not hold any right, title, or interest in the products. Limitations and exclusions apply to the maximum extent permitted by applicable law.

15. VIOLATION OF TERMS

You concede that the Company, at its sole discretion and without prior notice, may terminate Your access to the Website and impede Your future access if it determines a violation of these Terms or Additional Terms. Any such violation by You is deemed an unlawful and unfair business practice, causing irreparable harm to the Company. In such instances, You consent to the Company seeking injunctive or equitable relief, supplementing other available legal or equitable remedies. Furthermore, should legal action be initiated by the Company due to Your breach, You agree to bear all reasonable attorneys' fees and associated costs.

16. TERMINATION

The Terms remain in force until terminated by either party. You can terminate the agreement with the Company by refraining from accessing the Website or closing accounts for relevant services. The Company, at its discretion and with or without notice, may terminate the Terms if You breach provisions, violate applicable policies, or for legal or commercial viability reasons. Termination may involve removal of access, deletion of materials, and barring further service use. The Company holds sole discretion in termination decisions, with no liability for consequences.

17. GOVERNING LAW

These Terms, transactions on the Website, and the relationship between You and the Company are governed by Indian laws, excluding conflict of laws principles. You agree to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India, for any claims, differences, or disputes related to the Website, the Terms, transactions, or the relationship with the Company.

Assignment: You cannot assign or transfer the Terms or granted rights without Company consent. Company's rights are freely transferable.

Severability: If any provision is found unenforceable, it shall be enforced to the maximum permissible extent, and the remaining Terms endure.

Waiver: Company's failure to enforce any provision or right does not constitute a waiver of that provision or right.
